The final chapter for Tongaat Hulett Limited (THL) on South Africa’s premier financial exchange is drawing to a close. Following a directive from the JSE Limited, the agricultural and agri-processing giant is officially set to have its ordinary shares removed from the Main Board of the JSE, effective from the commencement of business on Tuesday, 3 November 2026.
This milestone formalises a prolonged period of market absence and sets the stage for the company to transition into an unlisted entity as its ongoing business rescue proceedings continue.
Four-Year Suspension Culminates in Delisting
Tongaat Hulett’s journey toward delisting follows a protracted suspension that began over four years ago on 20 July 2022, after the company failed to publish its annual financial results for the year ended 31 March 2022. Shortly thereafter, in October 2022, the company was placed into voluntary business rescue under the Companies Act, transferring full management control to joint business rescue practitioners (BRPs).
The business rescue plan adopted by creditors on 11 January 2024 originally relied on a debt-for-equity recapitalisation. However, after shareholders rejected the proposed equity subscription during a general meeting in August 2024, the BRPs were mandated to pivot toward an alternative transaction: selling all of the company’s assets and businesses as going concerns to the Vision consortium.
With the adopted plan explicitly contemplating a delisting and the transition of THL into a shell company, both the current directors and the BRPs submitted written representations supporting the JSE’s removal notice rather than opposing it.
Position of Directors and BRPs
In their representations to the JSE, the company’s leadership and BRPs stressed that ongoing compliance with listed issuer obligations has been impossible. Key factors include:
- The resignation of all non-executive directors shortly after the business rescue commenced.
- The statutory displacement of the pre-existing board’s management authority by the BRPs.
- The absence of auditable financial information due to deep-seated financial distress and the contested disposal of assets.
Furthermore, leadership noted that publishing unaudited financial statements carried a severe risk of misleading the market. Because no reliable basis for valuation exists, continuing the listing no longer serves the objectives of the Financial Markets Act (FMA).
Impact on Shareholders and Salient Dates
Following the removal of the listing, THL shares will be held as unlisted certificated shares via the transfer agent, Computershare Investor Services Proprietary Limited. Share statements for unlisted holdings are scheduled to be issued to shareholders by Thursday, 12 November 2026.
While investors will retain their unlisted shareholdings, the securities will no longer trade on the electronic STRATE platform. Crucially, the company has reiterated that no offer is being made to shareholders, no payment will be issued in connection with the delisting, and no future distributions are expected given that the adopted plan involves the disposal of all assets.
Key Salient Dates:
- Declaration Date: Monday, 12 October 2026
- Last Day to Trade (Off-Market): Tuesday, 27 October 2026
- Record Date: Friday, 30 October 2026
- Broker Positions Closed and Reopened in Unlisted Form: Monday, 2 November 2026
- Termination of JSE Listing: Tuesday, 3 November 2026
- Issue of Unlisted Share Statements: Thursday, 12 November 2026
Continuity of Business Rescue Operations
The removal of the JSE listing does not alter the underlying business rescue process. Separate proceedings for entities like Tongaat Hulett Developments, Tongaat Hulett Sugar South Africa, and Voermol Feeds continue to be managed independently.
The BRPs and current directors remain focused on implementing a restructuring solution that preserves the underlying operational businesses as going concerns, safeguarding the interests of employees, growers, creditors, and the broader agricultural sector. Moving forward, all statutory notices, monthly status reports, and updates will be published exclusively through the company’s website under its business rescue portal.
